ALASKA HOTEL PROPERTIES, INCORPORATED. Records; 1959-1981. 50.25 cu. ft.

Alaska Hotel Properties, Inc., was formed in 1960 as the International Motor Hotel Corporation for the purpose of building and leasing motor hotels in Alaska. The corporations's first project was the building of the Anchorage Travelodge, a motor lodge and restaurant, completed in 1964. Other corporate properties included the Haines Thunderbird, purchased in 1969, and the Juneau Hilton, the first Hilton in Alaska, which opened in January 1975. The corporation's name was changed to Alaska Hotel Properties in 1968; in 1980 it became Alaska Diversified Resources and in 1984 the name was again changed to the Microfast Software Corporation. The corporation is one of the oldest publicly held stock companies in Alaska.

The collection consists of records documenting the history and operation of Alaska Hotel Properties, Inc. and the individual hotels within the corporation. The collection is divided into two sections: corporate records and hotel records. Section 1, Corporate Records, consists of records concerning the administration and operation of Alaska Hotel Properties, Inc.. This section is divided into three subsections: A, Administrative Records, which contains incorporation files, annual meeting records, and administrative, financial and legal records; B, Stockholder Records, which contains stock certificates, individual stockholder files, and stockholder mailings; and C, Financial Files, which contains audit files, audit supporting documents, tax files, Securities and Exchange Commission reports and forms, payroll records, and miscellaneous subject files. Section 2, Hotel Records, consists of records concerning the administration and operation of the individual hotels within the corporation. This section is divided into three subsections: A, Haines Thunderbird, which contains administrative, financial and legal files, payroll and personnel files, and supporting financial documents; B, Anchorage Travelodge, which contains administrative, financial and legal files; and C, Juneau Hilton, which contains administrative, financial and legal files, personnel files, supporting financial documents, daily reports, and supporting documents for the daily reports. Portions of the collection are closed to research use.

A deposit agreement was signed between the archives and the organization in 1984.

This series consists of records concerning the incorporation of Alaska Hotel Properties. Included are the articles and certificate of incorporation, bylaws, amendments, minutes of the first meeting of the board of directors, and a record directors meetings for the years 1960-1972.

This series consists of records concerning the regular annual meetings and special meetings of the board of directors and stockholders of Alaska Hotel Properties, Inc. Included are minutes of board of directors and stockholder meetings, working files (including correspondence and notes), stockholder lists, and proxies.

This series consists of records concerning the financial and legal commitments of Alaska Hotel Properties, Inc. Included are records concerning banking and finance, business licenses, director's files and reports, health and welfare, insurance, Juneau Hilton construction, Juneau Hilton and Travelodge refinancing, promissory notes, real estate, and unions.

This series consists of original stock certificate books for Alaska Hotel Properties, Inc. Included are a preferred capital stock certificate book (June 1966); a common stock, class "B" certificate book (April - August 1960); common stock, class "A" certificate books (April 1960 -January 1971); and blank voided stock certificate books (n.d.). There is also a reissued stock certificates ledger (1963-1971).

This series consists of records concerning individual stockholders of Alaska Hotel Properties, Inc. The records are primarily correspondence between AHP and individual stockholders, but also may include stock subscriptions and stock transmittal forms.

Series 3. Stockholder Mailings; 1960-1981. 1.35 cu. ft. Arranged chronologically.
This series consists of copies of mailings sent to stockholders of Alaska Hotel Properties, Inc. Included are annual and special meeting notices and proxies, annual and quarterly reports, dividend declarations, dividend transmittal letters, notices of new AHP projects, articles and news releases concerning AHP and its individual hotels, financial statements, stock offering circulars, and other similar types of records.

This series consist of records relating to financial audits of Alaska Hotel Properties, Inc. Included are correspondence between AHP and various auditors and accounting firms, financial and audit reports, audit balance sheets, and receipts.

This series consists of supporting documents for audits of Alaska Hotel Properties, Inc. Included are monthly balance sheets, general ledgers, check registers, bank statements and deposit slips, canceled checks, cash receipt and disbursement journals, paid invoices, accounts receivable and payable journals, journal vouchers, and other records.

Series 3. Tax Files; 1960-1976, 1980. .35 cu. ft. Arranged chronologically.
This series consists primarily of copies of state and federal income tax returns filed by Alaska Hotel Properties, Inc. There are also copies of AHP annual and quarterly tax reports, and records concerning tax deposits.

Series 4. Securities and Exchange Commission Reports and Forms; 1960-1980. 3 cu. ft. Arranged by numerically by form number and thereunder chronologically.
This series consist of records concerning federal Securities and Exchange Commission reports filed by Alaska Hotel Properties, Inc. Included are correspondence between AHP and the SEC; AHP annual meeting notices and proxy statements filed with the SEC; AHP stock offerings and registrations, stockholder exhibit packets, notes and amendments for SEC Regulation "A" reports filed by AHP; copies of SEC form 8-K (current reports) filed by AHP; copies of SEC form 10-K (Annual Report to the SEC) filed by AHP; correspondence and working papers concerning SEC form 10-Q (Quarterly Report) filed by AHP and copies of the reports; and copies of other SEC reports filed by AHP. This series consists of records relating to the financial and legal administration of the Haines Thunderbird Motel by Alaska Hotel Properties, Inc. Included are records concerning loans to the Haines Thunderbird; insurance; real estate files including records relating to hotel development in Haines and the purchase, appraisal and sale of the Haines Thunderbird by AHP; and mortgage records.

Series 2. Payroll and Personnel Files; 1973-1979. .5 cu. ft. Arranged alphabetically. CLOSED TO RESEARCH USE.
This series consists of records relating to the payroll and personnel of the Haines Thunderbird Motel. The payroll records include payroll account check registers and signature cards, disbursement summaries, account sheets, and payroll recaps and tax information. The personnel file include correspondence with the Alaska Department of Labor, employee work records, applications, and correspondence concerning workmens compensation.

Series 3. Supporting Documents; 1960-1979. 5.75 cu. ft. Arranged chronologically.
This series consists of records relating to the financial operation of the Haines Thunderbird motel. Included are manager's correspondence, vendor correspondence, general ledgers, accounts payable and receivable ledgers, balance sheets, paid invoices, bank statements and deposit slips, journal vouchers, cash receipts and disbursements journals, daily transcripts, inventories, and other similar records.

This series consists of records relating to the financial and legal administration of the Anchorage Travelodge by Alaska Hotel Properties, Inc. Included are records concerning appraisal; construction and revenue projections; correspondence; the sale of the Travelodge; mortgage records; insurance; Sheffield House and Travelodge lease payments; taxes; and other similar records.

Subgroup II-C. Juneau Hilton

This series consists of records relating to the financial and legal administration of the Juneau Hilton by Alaska Hotel Properties, Inc. Included are correspondence between AHP and various builders and developers concerning the financing, construction, and furnishing of the Juneau Hilton; loan and mortgage records; contracts; deeds; correspondence between AHP and Hilton Inns, Inc.; records concerning Blue Cross, fidelity bond, liability, title, vehicle, and other types of insurance; records concerning legal cases in which the Juneau Hilton was involved; notes payable; tax records; records concerning the sale of the Juneau Hilton by AHP; and others.

This series consists of records relating to Juneau Hilton personnel matters. Included are Juneau Hilton employee and workmens compensation records filed with the Alaska Department of Labor, records concerning labor complaints by Juneau Hilton employees, and Hilton internal memos concerning personnel and payroll matters.

Series 3. Supporting Documents; 1970-1978. 4.25 cu. ft. Arranged alphabetically.
This series consists of records relating primarily to the financial operation of the Juneau Hilton Hotel. Included are account payable and receivable ledgers and invoices, advertising records, bank statements, cash receipt and disbursement journals, check registers, vendor contracts and correspondence, cost of sales records, food service permits, inventories, journal vouchers, lease records, ledgers, payroll journals, purchase orders, monthly payment reports, monthly franchise fee reports, quarterly reports, and other similar records. There are also records concerning the management and rental of the Mendenhall Apartments by the Juneau Hilton.

This series consists of the daily financial reports for the Juneau Hilton and Timberline Restaurant.

Series 5. Supporting Documents for Daily Transcripts; 1975-1978. 2 cu. ft. Arranged alphabetically.
This series consists of samples of records used by the Juneau Hilton in the preparation of the daily financial report for the hotel. Included are bar register readings, credit account totals, credit card receipts, daily cash and sales reports and balances, daily charge recaps, gift certificates, guest vouchers, and other similar records.
